1. Definitions
In these Terms of Use and Sale (TOS), the following terms have the meanings assigned to them below:
- "Service": refers to the Aldo SaaS platform accessible at https://aldo.works, enabling AI-assisted business management (client management, quote and invoice creation, product catalog, conversational assistant).
- "User": refers to any natural person of legal age or legal entity registered and using the Service.
- "Account": refers to the User's personal space providing access to the Service.
- "Aldo" or "We": refers to the publisher of the Service, whose contact details are provided in Section 14.
- "Data": refers to all information provided by the User or generated through use of the Service.
- "Termination": refers to the closure of the Account at the User's initiative, under the conditions set out in these TOS.
- "Suspension": refers to the temporary and reversible blocking of access to the Service, at Aldo's initiative, under the conditions set out in these TOS.
- "Deletion": refers to the permanent and irreversible closure of the Account, at Aldo's initiative, under the conditions set out in these TOS.
2. Acceptance of Terms
Use of the Service implies full and unconditional acceptance of these TOS. By creating an Account or using the Service, the User acknowledges having read, understood, and accepted these TOS without reservation.
If the User does not accept these TOS, they must refrain from using the Service.
3. Description of the Service
Aldo is a business management platform designed for freelancers, consultants, and small and medium-sized businesses. The Service includes the following features:
- Conversational AI assistant: a dialogue interface enabling users to manage their business through simple conversation (document creation, information retrieval, administrative assistance).
- Client management: creation and organization of client records (individuals and companies) with their contact details, legal information (SIRET, VAT) and interaction history.
- Quote and invoice creation: generation of professional business documents with automatic numbering, tax calculation, PDF generation, and email delivery.
- Product catalog: management of a product and service catalog with pricing, VAT rates, and units of sale.
- User support: a ticketing system for technical assistance and guidance.
- Team management (depending on plan): creation of team accounts with member management, roles, and permissions.
Available features may vary depending on the plan subscribed to.
4. Registration and User Account
4.1 Registration requirements
The Service is intended exclusively for professionals (natural persons or legal entities acting in the course of their professional activity). Registration is reserved for natural persons of legal age (18 years and older) with full legal capacity, or for legal entities duly represented.
The User guarantees the accuracy and truthfulness of the information provided during registration and undertakes to update it in the event of any changes.
4.2 Account creation
To create an Account, the User must provide a valid email address and choose a secure password. The User is solely responsible for maintaining the confidentiality of their login credentials.
The User undertakes to immediately notify Aldo of any unauthorized use of their Account.
4.3 Access by invitation
Registration for the Service may be restricted and require an invitation. In such cases, only users with a valid invitation will be able to create an Account.
5. Plans and Billing
5.1 Available plans
The Service is offered under the following plans, the features and pricing of which are described on the Pricing page:
- Free: full access to all Service features, with a 0.5% commission charged on each card payment made via Stripe (see Section 5.5).
- Subscription: full access to all Service features, without any commission on payments. The subscription is offered on a monthly basis (see current pricing on the Pricing page).
Aldo reserves the right to modify its pricing at any time, provided the User is notified at least 30 days in advance.
5.2 Trial period
A free trial period may be offered to new users. At the end of this period, the subscription will be automatically converted to a paid subscription unless cancelled before the end of the trial period.
5.3 Payment
Subscription payments are made by credit card via our payment provider Stripe. The User authorizes the automatic and recurring charge of their credit card according to the subscribed billing cycle.
Invoices are available in the User's personal dashboard.
5.4 Renewal and cancellation
The subscription is automatically renewed for the subscribed period unless cancelled by the User from their Account settings. Cancellation takes effect at the end of the current subscription period. No pro-rata refund is made in the event of early cancellation.
5.5 Commission on payments
Under the Free plan, a 0.5% commission is charged by Aldo on each credit card payment made by the User's clients through the Service. This commission is automatically deducted from the amount transferred to the User. It is in addition to the processing fees charged by Stripe. The Subscription plan removes this commission.
The use of payment services integrated into the Service is subject to Stripe's terms (Connected Account Agreement), which the User accepts when connecting their Stripe account.
6. User Responsibilities
6.1 Proper use
The User undertakes to use the Service in accordance with:
- These TOS
- Applicable laws and regulations in force in France and in their country of residence
- Good practices and customs of the Internet and social networks
6.2 Prohibited activities
The User is strictly prohibited from:
- Using the Service for illegal, fraudulent, or immoral purposes
- Infringing upon the intellectual property rights of Aldo or third parties
- Attempting to gain unauthorized access to the Service, servers, or databases
- Disrupting the operation of the Service or overloading the servers
- Extracting, copying, or reproducing the content of the Service in an automated manner
- Reselling or transferring their Account or access to the Service
- Using the Service to send unsolicited messages (spam) or malicious content
In the event of a breach of these prohibitions, Aldo reserves the right, depending on the severity of the violation, to: temporarily suspend access to the Service, permanently delete the User's Account, report the matter to the competent authorities, and/or take any appropriate legal action.
6.3 User-generated content
The User is solely responsible for any content they create, upload, or share through the Service (client data, products, invoices, messages, etc.). They warrant that they hold all necessary rights to such content and that it does not infringe upon the rights of third parties.
7. Intellectual Property
7.1 Aldo's property
The Service, its interface, its source code, its databases, its documentation, and all elements comprising it (text, images, graphics, logos, icons, sounds, software, algorithms) are the exclusive property of Aldo or its licensors.
Any reproduction, representation, modification, publication, or adaptation of all or part of the Service, by any means whatsoever, is strictly prohibited without the prior written authorization of Aldo.
7.2 License of use
Aldo grants the User a personal, non-exclusive, non-transferable, and revocable license to use the Service for the duration of their subscription, within the scope and limits of these TOS.
7.3 User content
The User retains all rights to the data and content they create through the Service. However, the User grants Aldo a limited license to host, store, process, and display such content solely for the purpose of providing the Service.
8. Personal Data Protection
The processing of the User's personal data is governed by our Privacy Policy, which forms an integral part of these TOS.
Aldo is committed to complying with the General Data Protection Regulation (GDPR) and the French Data Protection Act (Loi Informatique et Libertes) in the processing of personal data.
9. Availability and Maintenance
9.1 Availability commitment
Aldo undertakes to implement the necessary means to ensure the availability of the Service. However, Aldo cannot guarantee absolute availability of the Service and reserves the right to temporarily interrupt access for maintenance, updates, or in the event of force majeure.
9.2 Maintenance
Aldo reserves the right to perform scheduled maintenance operations. Where possible, the User will be informed in advance of planned interruptions.
9.3 Updates
Aldo reserves the right to update the Service, add, modify, or remove features, without this giving rise to any compensation.
10. Limitation of Liability
10.1 Aldo's liability
Aldo undertakes to provide the Service with due diligence and in accordance with industry standards. However, its liability may only be incurred for direct, foreseeable, and proven damages resulting from a breach of its contractual obligations.
10.2 Exclusions
Aldo shall not be held liable for:
- Indirect damages such as loss of revenue, loss of clients, loss of data, or commercial or reputational harm
- Errors or inaccuracies in content created by the User or generated by the AI assistant (the User must verify all documents before sending)
- Use of the Service that does not comply with these TOS
- Damages resulting from force majeure or an unforeseeable and insurmountable event caused by a third party
- Interruptions or malfunctions caused by third-party infrastructure or services (hosting, telecommunications networks, API providers)
10.3 Liability cap
In any event, Aldo's total liability under these TOS shall not exceed the amounts actually paid by the User during the 12 months preceding the event giving rise to liability.
10.4 AI assistant
The AI assistant is a management aid and does not replace the User's professional judgment. The User remains solely responsible for decisions made and documents generated through the Service. They must verify the accuracy and compliance of all content before use or distribution.
11. Termination, Suspension, and Deletion
11.1 Termination by the User
The User may terminate their Account at any time from their personal dashboard settings.
- Subscription plan: termination takes effect at the end of the current subscription period. No pro-rata refund is made.
- Free plan (commission): termination takes effect 30 days after the request. This notice period allows for the processing of pending payments. Stripe Connect payments in progress remain subject to the commission set out in Section 5.5.
The User has 14 days from their termination request to export their data from their personal dashboard.
11.2 Suspension and deletion by Aldo
Aldo reserves the right to suspend or permanently delete an Account, without delay and without prior notice, in the event of:
- Violation of these TOS
- Non-payment of the subscription
- Fraudulent, abusive, or illegal use of the Service
- Infringement upon the rights of third parties or the interests of Aldo
- Prolonged inactivity of the Account (more than 12 months without login)
Suspension is temporary and reversible: the User regains access to their Account once the reason for suspension has been resolved. Deletion is permanent and irreversible.
11.3 Consequences of termination or deletion
Upon termination or deletion of the Account, the User permanently loses access to the Service and their data. The User's Stripe Connect account is disconnected from the Service. Pending payments and ongoing Stripe disputes are handled in accordance with Stripe's terms.
Aldo reserves the right to delete the User's data within a reasonable period following termination or deletion, subject to legal data retention obligations.
12. Governing Law and Jurisdiction
12.1 Governing law
These TOS are governed by and construed in accordance with French law, to the exclusion of any other legislation.
12.2 Dispute resolution
In the event of a dispute relating to the interpretation or performance of these TOS, the parties shall endeavor to resolve it amicably. Failing amicable resolution within 30 days, the dispute shall be referred to the competent courts.
12.3 Competent jurisdiction
Any dispute relating to these TOS shall fall under the exclusive jurisdiction of the courts within the jurisdiction of the Lyon Court of Appeal, even in the event of multiple defendants or third-party proceedings.
12.4 Mediation
As the Service is reserved for professionals, the provisions relating to consumer mediation (Article L. 616-1 of the French Consumer Code) do not apply.
13. Amendments to the TOS
Aldo reserves the right to amend these TOS at any time. Amendments take effect upon their publication on the Service.
The User will be notified of any material changes by email or via a notification within the Service. Continued use of the Service after the TOS have been amended constitutes acceptance of the new terms.
If the User does not accept the amendments, they must stop using the Service and terminate their Account.

Important notice: These Terms of Use and Sale constitute a legally binding agreement between you and Aldo. Please read them carefully and keep them for future reference.
